Terms & Conditions - CaptainX Academy

1. Definitions

• "Academy" means any sports academy, club, school, college, university, or institution registered on CaptainX Academy.
• "User" means any individual authorised to access the Platform, including athletes, students, coaches, trainers, administrators, parents/guardians, or representatives of an Academy.
• "Minor" means any individual under the age of 18, as per the laws of the Kingdom of Saudi Arabia.
• "Services" means digital tools and modules provided through the Platform, including but not limited to athlete development programs, learning content, performance tracking, training management, analytics, assessments, and communication features.
• "Content" means any data, text, images, videos, performance metrics, or materials uploaded, generated, or processed through the Platform.

2. Eligibility & Legal Capacity

• Users must be at least 18 years old to create an account and enter into a binding agreement.
• Minors may access the Platform only through an Academy account or with verified parental or legal guardian consent.
• By using the Platform, you confirm that all registration information provided is accurate, current, and lawful.

3. Cultural & Ethical Compliance

CaptainX Academy operates in alignment with the cultural, religious, and social values of the Kingdom of Saudi Arabia. Users agree to:

• Use the Platform respectfully and ethically.
• Avoid uploading or sharing content that is offensive, immodest, discriminatory, or contrary to Islamic values and Saudi public morals.
• Respect gender privacy norms, especially in relation to women athletes, female students, and female-only programs.

The Company reserves the right to restrict, moderate, or remove any content or account that violates cultural or ethical standards.

4. Account Registration & Security

• Each Academy is responsible for maintaining its account and authorising Users.
• Users must keep login credentials confidential and secure.
• The Academy is fully responsible for activities carried out under its account.
• Any unauthorised access or security breach must be reported immediately.

5. Services & Acceptable Use

• Services are provided on a subscription or program basis and may vary by plan.
• CaptainX may update, modify, suspend, or discontinue features with reasonable notice.
• Users must not:
  • Misuse or attempt to exploit the Platform.
  • Reverse-engineer, copy, or interfere with system integrity.
  • Use the Platform for unlawful, misleading, or harmful activities.

6. Fees, Payments & Refunds

• Fees, billing cycles, and payment terms are disclosed at the time of subscription.
• Payments must be made in accordance with Saudi regulations and approved payment gateways.
• Refunds: Subscriptions are non-refundable unless required under applicable Saudi consumer protection laws.
• Non-payment may result in suspension or termination of Services.

7. Intellectual Property Rights

• All Platform software, designs, trademarks, logos, content, and technology are the exclusive property of CaptainX or its licensors.
• Users retain ownership of their Content but grant CaptainX a limited, non-exclusive, royalty-free license to host, process, and display such Content solely to deliver the Services.
• No rights are transferred except as expressly stated.

8. User Content & Responsibilities

• Users are responsible for the legality, accuracy, and appropriateness of all Content.
• Content must not:
  • Infringe third-party rights.
  • Violate Saudi laws or regulations.
  • Contain harmful, misleading, or culturally inappropriate material.
• CaptainX may remove or restrict Content that violates these Terms.

9. Data Protection & Privacy (Saudi Compliance)

CaptainX Academy complies with applicable Saudi data protection and cybersecurity laws, including but not limited to:

• Saudi Personal Data Protection Law (PDPL)
• Regulations issued by the Saudi Data & AI Authority (SDAIA)
• National Cybersecurity Authority (NCA) controls

Key Principles:

• Lawful Processing: Personal data is collected only for legitimate, clear purposes.
• Data Minimisation: Only necessary data is collected.
• Local Data Hosting: Where required, data is stored within the Kingdom of Saudi Arabia.
• Consent: Explicit consent is obtained for sensitive data processing.

Sensitive & Special Category Data:

• Health, performance, biometric, and training data are processed only with explicit consent.
• Women's Data: Female athlete data is handled with enhanced confidentiality and restricted access controls.
• Children's Data: Processing of Minor data requires verified parental or guardian consent and is subject to strict safeguards.

Users have the right to access, correct, withdraw consent, or request deletion of their personal data, subject to legal requirements.

10. Confidentiality

All non-public, proprietary, or sensitive information exchanged through the Platform shall be treated as confidential, unless disclosure is required by law or competent Saudi authorities.

11. Community, Communication & Conduct

• Communication tools must be used professionally and respectfully.
• Harassment, abuse, hate speech, or inappropriate interactions are strictly prohibited.
• CaptainX reserves the right to monitor, moderate, or disable community features.

12. Third-Party Services

• The Platform may integrate with third-party services such as payment processors or analytics tools.
• CaptainX is not responsible for third-party services, content, or privacy practices.

13. Limitation of Liability

To the maximum extent permitted by Saudi law:

• CaptainX shall not be liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the fees paid by the Academy in the preceding 12 months.

14. Indemnification

Users agree to indemnify and hold harmless CaptainX from claims, losses, damages, or liabilities arising from:

• Breach of these Terms
• Misuse of the Platform
• Violation of Saudi laws or third-party rights

15. Suspension & Termination

CaptainX may suspend or terminate access immediately if:

• These Terms are violated
• Payment obligations are not met
• Use of the Platform is unlawful or harmful

Certain obligations shall survive termination, including confidentiality and liability clauses.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Saudi Arabia.

17. Amendments

CaptainX may update these Terms from time to time. Continued use of the Platform constitutes acceptance of revised Terms.
